Terms of Sale.

These Terms of Sale apply to any order for a paid PulseLABS plan: cloud subscription (Synapse Engine, Cortex, modules) or on-premise installation and licence. PulseLABS offers are aimed primarily at professional (B2B) customers. They supplement the Terms of Use.

1. Scope

These Terms of Sale apply to any order placed by a customer (consumer or professional) with Pulse Software for: a subscription to the PulseLABS cloud platform (recurring card billing via Stripe), or an on-premise installation service together with an annual usage licence.

2. Prices

The applicable prices are those displayed on the Site's pricing pages (in particular /subscription and /cabinets) at the time of the order, expressed in euros. Pulse Software, a sole trader under the VAT exemption scheme (article 293 B of the French Tax Code), does not charge VAT: displayed prices are net, VAT not applicable.

Pulse Software reserves the right to change its prices at any time; changes do not apply to ongoing subscriptions before their renewal date.

3. Order and payment

Cloud subscriptions are taken out and paid online via Stripe, a third-party payment provider. Pulse Software does not store any banking data. Payment is due immediately upon subscription, then at each renewal date.

On-premise installation is subject to a quote and a prior written agreement specifying the scope, the installation price and the annual licence price; payment is made according to the terms agreed in that quote.

4. Term and renewal

Cloud subscriptions are entered into for a monthly or annual term depending on the plan chosen, and renew automatically for an identical term, unless cancelled by the user before the renewal date.

The on-premise licence is annual and renews under the same conditions, unless terminated by either party before the expiry date.

5. Right of withdrawal

In accordance with article L221-18 of the French Consumer Code, a consumer customer has a 14-day period to exercise their right of withdrawal on a subscription taken out online.

This right does not apply to professional customers acting in the course of their business (preliminary article of the French Consumer Code). For a cloud subscription with immediate access, the customer acknowledges, by ticking the corresponding box at the time of the order, requesting immediate performance of the service and waiving their right of withdrawal once the service has been fully performed before the end of the 14-day period, in accordance with article L221-28 13° of the French Consumer Code.

6. Cancellation

The user may cancel their cloud subscription at any time from the billing settings of their account; cancellation takes effect at the end of the current period, and access to the service is maintained until that date, without pro-rata refund unless otherwise required by law.

Cancellation of the on-premise licence is carried out according to the terms agreed in the quote or contract signed between the parties.

7. Liability

Pulse Software's liability under these Terms of Sale is limited to the amounts actually paid by the customer for the relevant plan over the last twelve months, to the extent permitted by law.

8. Governing law and disputes

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action; failing that, the competent French courts will have jurisdiction.
